FRANCHISE TERMS & CONDITIONS

These Franchise Terms & Conditions (“Agreement”) govern the use of the Franchise Recruitment Management Panel provided by Prime Evolve Placement Services LLP (“Company”) to its authorized Franchise Partners (“Franchisee”).

By purchasing a franchise, accessing the Franchise Panel, or using any services provided by the Company, the Franchisee agrees to comply with and be bound by these Terms & Conditions.

1. Franchise Enrollment

The Company grants the Franchisee a limited, non-exclusive, non-transferable right to access and use the Franchise Recruitment Management Panel for recruitment-related activities approved by the Company.

Approval of any franchise application remains solely at the discretion of the Company.

2. Franchise Fee and Validity

• Franchise Fee: ₹30,000 (Thirty Thousand Rupees Only)
• Franchise Validity: 2 Years from the date of activation
• The franchise fee is payable in advance.
• The franchise fee is refundable in accordance with the Company’s Refund Policy and is non-transferable.
• Franchise access will automatically expire at the end of the validity period unless renewed.

3. Franchise Panel Access

Upon approval, the Franchisee shall receive access to the Franchise Recruitment Management Panel, which may include:

• Franchise Dashboard
• Assigned Job Requirements
• Candidate Management System
• Recruitment Workflow Tracking
• Earnings and Payout Tracking
• Notifications and Updates

The Company reserves the right to modify, add, suspend, or remove any panel feature at any time.

4. Franchisee Responsibilities

The Franchisee agrees to:

• Maintain professional and ethical business conduct.
• Submit genuine and verified candidate information.
• Follow recruitment procedures established by the Company.
• Protect the confidentiality of employer and candidate information.
• Use the panel solely for authorized recruitment activities.
• Comply with all applicable laws and regulations.

5. Job Requirement Management

The Company may assign recruitment requirements to Franchise Partners.

The Franchisee may:

• View assigned job requirements.
• Submit suitable candidates.
• Track recruitment progress.

The Company reserves the right to modify, withdraw, or reassign any job requirement at its discretion.

6. Candidate Management

The Franchisee may register and manage candidate profiles through the panel.

The Franchisee shall ensure that:

• Candidate information is accurate.
• Resumes and documents are authentic.
• No false, misleading, or fraudulent information is submitted.

The Company may reject, remove, or suspend any candidate record found to contain inaccurate or fraudulent information.

7. Recruitment Workflow

Candidate applications may progress through the following stages:

• Applied
• Interview Scheduled
• Interviewed
• Selected
• Joined
• Rejected

The Company reserves the right to modify recruitment workflows and candidate statuses whenever necessary.

8. Earnings and Payout Policy

Franchise earnings shall be generated only when:

1. The candidate is submitted through the Franchise Panel.
2. The candidate is selected by the employer.
3. The candidate successfully joins the employer.
4. Joining is verified by the employer.
5. Placement is approved by Prime Evolve Placement Services LLP.

The Company may hold, adjust, delay, or reject payouts in cases involving:

• Fraudulent submissions
• Duplicate candidate records
• False information
• Employer disputes
• Policy violations
• Pending verification

The Company reserves the final authority regarding payout approval.

9. No Ownership Rights

The Franchisee acknowledges that access to the panel does not transfer ownership of any Company assets.

All rights, title, and interest in the following remain the exclusive property of Prime Evolve Placement Services LLP:

• Software and Systems
• Candidate Database
• Employer Database
• Job Requirements
• Business Processes
• Trademarks and Branding
• Intellectual Property

10. Confidentiality

The Franchisee shall maintain strict confidentiality regarding:

• Candidate information
• Employer information
• Job requirements
• Business operations
• Commission structures
• Internal policies
• Platform data

Confidential information shall not be copied, disclosed, sold, or shared without written authorization from the Company.

This obligation shall survive termination of the franchise relationship.

11. Prohibited Activities

The Franchisee shall not:

• Share panel access with unauthorized persons.
• Submit fake candidates.
• Upload forged documents.
• Misrepresent Company services.
• Collect unauthorized fees.
• Download, copy, or distribute Company databases.
• Circumvent Company recruitment processes.
• Use Company branding without permission.
• Engage in unlawful or fraudulent activities.

12. Suspension and Termination

The Company reserves the right to suspend or terminate franchise access without prior notice if:

• Franchise validity expires.
• Terms are violated.
• Fraudulent activity is detected.
• Confidential information is misused.
• The Company’s reputation is harmed.

Termination shall not entitle the Franchisee to any refund of franchise fees.

13. Limitation of Liability

Prime Evolve Placement Services LLP shall not be liable for:

• Hiring decisions made by employers.
• Candidate performance.
• Recruitment outcomes.
• Business losses.
• Data loss.
• Indirect, incidental, or consequential damages.

The Company’s total liability shall not exceed the franchise fee paid by the Franchisee.

14. Amendments

The Company reserves the right to modify these Terms & Conditions at any time.

Updated Terms shall become effective immediately upon publication on the Company’s website or Franchise Panel.

Continued use of the Franchise Panel constitutes acceptance of the revised Terms.

15. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of India.

Any dispute arising from this Agreement or the use of the Franchise Recruitment Management Panel shall be subject to the exclusive jurisdiction of the competent courts located in Ajmer, Rajasthan, India.
